I. TERMS CLAUSE

§ 1 Research and reference materials

Products marked in the Shop as “reference material”, “research material” or “research use only” are intended exclusively for laboratory, analytical and scientific use.

These products:

• are not medicinal products within the meaning of pharmaceutical law,
• are not dietary supplements or foodstuffs,
• are not medical devices,
• are not intended for use in humans or animals,
• are not intended for consumption, application or introduction into the body in any form.

The purchase of a product means that the Buyer:

• has the knowledge and qualifications necessary to work safely with chemical substances,
• will use the product exclusively for research purposes,
• will ensure that the use of the product complies with the applicable laws in the territory of the country in which the product will be used.

The Seller reserves the right to:

• refuse to fulfil the order,
• cancel the order,
• request additional information regarding the intended use of the product if there are reasonable doubts as to whether the order is consistent with the research nature of the product.

The Seller shall not be liable for any use of the product contrary to its intended purpose.

II. FORMAL TERMS OF SALE FOR REFERENCE MATERIALS (EU MODEL)

§1 General provisions

1. These Terms set out the rules for the sale of reference and research materials offered by the Seller via the online shop.
2. These Terms apply to sales carried out within the territory of the Member States of the European Union.
3. In the event of any conflict between the mandatory provisions of the law applicable in the Buyer’s country and these Terms, the mandatory provisions of local law shall prevail.

§2 Definitions

1. “Reference materials” – chemical compounds offered exclusively for research, analytical and laboratory use.
2. “Buyer” – an entity purchasing a product for use exclusively in laboratory research.
3. “Laboratory research” – activities carried out under controlled research conditions by persons with appropriate competence.

§3 Nature of the products

1. Products offered in the category of reference materials:

• are not authorised for marketing as medicinal products,
• are not intended for consumption,
• are not intended for therapeutic or diagnostic use,
• are not food or dietary supplements.

2. Products are labelled as intended exclusively for research use (“Research Use Only”).

§4 Purchase conditions

1. Purchasing a reference material means that the Buyer:

• acts in a professional or research capacity,
• has appropriate technical knowledge,
• assumes full responsibility for the lawful use of the product.

2. The Seller may:

• verify the Buyer’s details,
• request confirmation of the purpose of purchase,
• refuse to fulfil the order without stating reasons in the event of regulatory doubts.

§5 Liability

1. The Seller’s liability is limited to the quality of the product at the time of delivery.
2. The Seller shall not be liable for:

• use of the product contrary to its intended purpose,
• the Buyer’s breach of applicable laws,
• any resale of the product by the Buyer.

3. The Buyer undertakes to comply with all relevant local laws regarding the possession and use of chemical substances.

§6 Territorial restrictions

1. The Seller reserves the right to restrict the sale of selected products to specific jurisdictions.
2. The Buyer is responsible for verifying that the purchase complies with the law of the destination country.

§7 Final provisions

1. These Terms shall be governed by the law applicable to the Seller’s registered office, subject to the mandatory provisions of the consumer’s country.
2. Any disputes shall be resolved by the competent court in accordance with the provisions of the applicable law.
